Seven Richards, Layton & Finger Directors Named in The International Who’s Who of Corporate Governance Lawyers

WILMINGTON, Delaware – Seven Richards, Layton & Finger directors have been named in The International Who’s Who of Corporate Governance Lawyers 2009, more than any other Delaware firm. R. Franklin Balotti, Donald A. Bussard, Jesse A. Finkelstein, Mark J. Gentile, Samuel A. Nolen, Gregory V. Varallo and Gregory P. Williams are among only 367 lawyers selected by their peers as the world’s foremost corporate governance lawyers. Researchers at Who’s Who Legal gather information from lawyers and clients as well as the legal and financial media to create a definitive list of the world’s leading attorneys in 29 areas of business law. The International Who’s Who of Corporate Governance Lawyers 2009 will form the corporate governance chapter to the compendium volume, The International Who’s Who of Business Lawyers.

R. Franklin Balotti advises and represents corporations and corporate directors in transactions and corporate governance matters with respect to fiduciary duties, corporate control disputes, extraordinary transactions and related matters. Balotti is a graduate of Cornell Law School.

Donald A. Bussard advises corporations, boards of directors and board committees in connection with mergers and acquisitions, recapitalizations, stock issuances, stockholders’ meetings and relations, and corporate governance matters. Bussard graduated from Temple University School of Law.

Jesse A. Finkelstein advises corporations, directors and shareholders and represents them in complex or high-stakes litigation in connection with corporate governance, transactional, merger and acquisition, and control disputes. Finkelstein is a graduate of Boston College Law School.

Mark J. Gentile advises corporations, officers, directors, board committees and stockholders in connection with mergers and acquisitions, divestitures, recapitalizations and corporate governance issues. Gentile graduated cum laude from Boston University School of Law.

Samuel A. Nolen, who is active in leadership in several international organizations, advises corporate and individual clients on corporate governance, transactional and control dispute issues and represents them in derivative and class actions, fiduciary responsibility actions and other complex cases. Nolen is a graduate of Washington and Lee University School of Law.

Gregory V. Varallo, vice chair of the corporate department, litigates complex business disputes concerning corporate governance and corporate transactions in state and federal courts in Delaware and throughout the U.S. Varallo graduated from Temple University School of Law.

Gregory P. Williams is the chair of the corporate department and the immediate past president of the firm. He represents corporations and their directors and officers, providing advice and counseling to his clients and representing them in courts in Delaware and across the country. Williams is a graduate of the College of William and Mary Law School.
