Claire Love concentrates her practice on transactional matters involving Delaware statutory trusts, with a focus on structured finance transactions. Claire has extensive experience representing banking institutions and trust companies in connection with their trust and agency services, including their roles as owner trustee, Delaware trustee, indenture trustee, collateral agent, custodian, paying agent, administrator, registrar, and exchange agent, in a variety of commercial transactions. In addition, Claire frequently serves as special Delaware counsel to issuers, investors, underwriters, arrangers, and others with respect to structured finance transactions involving asset-backed securities, hybrid capital securities, real estate financings, covered bond issuances, and equipment lease transactions.
Claire’s practice includes providing advice on the formation, structuring, and operation of master trusts, owner trusts, series trusts, grantor trusts, titling trusts, real estate investment trusts, common law trusts, and liquidating trusts in transactions of all types, including public and private offerings and off-shore and cross-border transactions. Her experience in trust and trustee representations encompasses virtually all asset classes and numerous transaction structures. Claire also has experience with structuring special purpose bankruptcy-remote entities to protect against substantive consolidation with affiliates and other persons.
