David Schmerfeld

David Schmerfeld concentrates primarily on corporate litigation in the Delaware Court of Chancery and advising directors of Delaware corporations on corporate governance and fiduciary duties. He is an associate in the firm’s Corporate Department.

In law school, David was a member of the Minnesota Law Review.

Representative Experience

• Assisted representing a special committee of a Fortune 300 company in investigating and responding to a stockholder demand letter
• Lyondell Chem. Co. v. Ryan, 920 A.2d 235 (Del. 2009): Assisted with briefing an interlocutory appeal in the Delaware Supreme Court that successfully reversed a summary judgment ruling concerning good faith, Revlon duties and deal protection measures
• Assisted in successfully enforcing a former chief financial officer’s advancement rights in the Court of Chancery
