Robert Burns focuses primarily on litigation in the Delaware Court of Chancery and the Delaware Supreme Court involving corporate governance, corporate control, contractual disputes, and other commercial disputes.  He is an associate in the Corporate Department.

Representative Experience

  • Assisted in successful representation in an action to determine the proper board of directors of a Delaware corporation. Johnston v. Pedersen, 28 A.3d 1079 (Del. Ch. 2011)
  • Assisting in representing a Delaware corporation through dissolution proceedings, including successfully arguing a motion to dismiss an action seeking to replace the corporation's board of directors with a receiver. LeCrenier v. Central Oil Asphalt Corp., 2010 WL 5449838 (Del. Ch. Dec. 22, 2010)
  • Assisted in representation of Delaware corporations and alternative entities in class, derivative and direct actions involving alleged breaches of fiduciary duty.
