This panel discussed the many governance, public disclosure and potential regulatory and other liability issues relating to the performance and conduct of CEOs and other C-suite executives. Situations discussed included violations of company policies concerning personal relationships and sexual harassment, securities trading, conflicts of interest and other financial issues; regulatory violations on the part of executives, especially the CFO; illness of significant executives and other succession issues. The importance of getting stockholder and other public disclosures right was addressed, as well as issues associated with indemnification of such executives.
