Monica Ayres focuses primarily on rendering advice as to matters of Delaware law relating to Delaware limited partnerships, general partnerships and limited liability companies with respect to formation, operation and governance matters. Monica’s practice involves providing advice and legal opinions in connection with a wide range of transactions involving Delaware limited and general partnerships and limited liability companies, including merger, conversion and acquisition transactions, investment fund transactions, structured finance transactions, joint venture transactions, strategic alliance transactions and financing transactions. A director in the firm's Limited Liability Company and Partnership Advisory Group, Monica's practice involves providing advice and legal opinions in connection with a wide range of transactions involving Delaware limited and general partnerships and Delaware limited liability companies, including merger, conversion and acquisition transactions, investment fund transactions, structured finance transactions, joint venture transactions, strategic alliance transactions and financing transactions. Monica's practice also involves providing advice with regard to litigation matters involving Delaware limited liability companies and Delaware general and limited partnerships, as well as analyzing fiduciary duty and contractual interpretation issues.
