As we begin a new year at Richards, Layton & Finger, I am humbled to occupy the president’s seat and proud to represent an exceptionally talented group of professionals. The past twelve months have brought rapid change across our profession and challenges to Delaware’s corporate landscape. Throughout the year, our firm continued to demonstrate the judgment, steadiness, and commitment to excellence that have defined Richards Layton for more than 125 years. These experiences have set the stage for a transformational year in which we will honor our legacy and continue our evolution.
One of the most significant forces reshaping the legal industry is the accelerating impact of artificial intelligence. AI continues to change how we gather information, analyze complex records, and deliver work. These tools enhance the precision and efficiency with which we serve our clients. Yet even as technology evolves, the heart of our work remains deeply human. The creativity, rigor, and sound judgment our lawyers bring to every matter are our greatest assets. In 2026, we will continue investing in technology, training, and professional development so we are equipped to integrate these advancements while upholding the high standards that define our firm.
That investment in our people is central to everything we do. Ensuring our clients have access to outstanding talent—individuals with extraordinary legal skill and a genuine commitment to collaboration—remains one of our highest priorities. As we continue to grow, we maintain our focus on recruiting and retaining lawyers who not only excel in their craft but who also reflect the character and culture that distinguish Richards Layton.
Our work is also tied to something larger than ourselves: the vitality of Delaware’s corporate franchise. Over the past two years, Delaware has faced heightened scrutiny and increased competition from other states positioning themselves as corporate alternatives. While I am confident in Delaware’s enduring strengths, these developments remind us that our leadership position must be actively preserved. Richards Layton has long played an important role in supporting the state’s corporate law framework, and we will continue engaging with policymakers, business leaders, and the bar to ensure the franchise remains strong, balanced, and trusted. The stability of this system supports our clients and the Delaware community.
In that same spirit of progress, 2025 marked the formal launch of our Registered Funds Advisory Group, expanding our ability to serve clients on Delaware-specific matters in a rapidly evolving regulatory environment. This new group reflects both market demand and our long-standing strength in advising sophisticated financial institutions. It is a clear example of how we evolve thoughtfully—building on our core capabilities while anticipating what our clients will need next.
Our commitment to service extends beyond our legal work. Our Pro Bono & Community Engagement Annual Report highlights the extraordinary efforts of our lawyers and professional staff in supporting individuals and organizations across Delaware and beyond. The thousands of hours devoted to these efforts serve as a powerful reminder that our influence stretches well beyond the courtroom or boardroom and into the communities that shape and support us.
As I look to the year ahead, my goals are simple. I hope that when 2026 ends, we can say that the work for our clients and the community has honored the remarkable history of our firm and that we have strengthened our role as stewards of Delaware’s corporate franchise at a moment when it has truly mattered. Upon achieving these goals, I will know we have advanced the legacy entrusted to us.
Thank you for being such an integral part of our community, and we look forward to continuing to work together for years to come.
With gratitude,

Paul N. Heath
