At the inaugural ABA Business Law Section Annual Meeting, Cathy Dearlove acted as a co-chair and moderator of the “Governance of Private and Family-Controlled Companies & Governance of Non-Corporate Entities” meeting. This meeting included discussions of recent developments involving limits of contractual governance provisions, and governance considerations in venture capital transactions when investing in a corporation versus investing in an LLC.

John Mark Zeberkiewicz was the program chair and moderator for a panel entitled “Drafting a Stronger Preferred Stock: Responses to Recent Case Law Developments,” which discussed recent cases addressing the rights of preferred stockholders as a backdrop for exploring best practices in drafting preferred stock instruments. John Mark was also program chair and moderator of “Mistakes: Common Defects in the Authorization of Corporate Acts, the Effects, and the Fixes,” a panel addressing the effects of statutory as well as common law ratification.
