Mark Gentile will speak on “Delaware Law Developements,” providing an update on the latest developments and a refresher on key concepts under Delaware law applicable to M&A transactions. Topics will include disclosure issues, the use of LLCs, special issues arising from the acquisition of closely held businesses, fiduciary duty issues, disparate consideration issues, the use of lock-ups, and structuring merger transactions.
