This program will analyze differences in key LLC Act provisions among various states, with emphasis on Delaware, California, Texas, and others. The program will address provisions governing formation, management, modification of fiduciary duties, disassociation and dissolution, indemnification, and amendment of operating agreements.
The panel, which includes Elisa Maas, will also focus on the distinction between mandatory/non-modifiable and default/modifiable statutory provisions, and present practical examples and strategies for avoiding pitfalls when drafting operating agreements for use in different states.
