Event| Corporate & Chancery Litigation

University of Texas’ School of Law’s Mergers & Acquisitions Institute attracts a broad audience of M&A professionals, including attorneys, private equity investors, commercial and investment bankers, corporate investors, valuation experts, hedge fund managers, and other legal and financial practitioners.  The 2010 program examines the latest deal trends, structures, pitfalls and opportunities from the perspectives of strategic buyers and private equity investors.

Richards Layton director Srinivas Raju will co-chair a panel entitled “Managing Conflicts, Part II: Fiduciary Quagmires involving MLPs and Joint Ventures.”  This panel includes a discussion of the obvious, and sometimes not so obvious, fiduciary duty and conflict of interest issues that arise because of the structure of MLPs and JVs, including the duties of general partners, JV participants and sponsors in connection with interested party transactions, financing arrangements, committee issues and overall governance. What are the duties and to whom do they run?
