The Working Group on Legal Opinions (WGLO) Fall 2010 Seminar will be held in New York, NY on October 19, 2010. Director James Leyden will chair a panel entitled "Opinions on LLC Interests" which will discuss opinions on interests in limited liability companies as well as a few related opinions. With a focus on Delaware LLCs, the panel will analyze opinions that are commonly given on (i) the issuance of and payment for LLC interests, (ii) purchasers’ obligations to make contributions to the LLC, (iii) the admission of purchasers as LLC members, and (iv) the personal liability of members for LLC obligations.
