WILMINGTON, Delaware – R. Franklin Balotti, Donald A. Bussard, Jesse A. Finkelstein, Mark J. Gentile and Samuel A. Nolen, directors in Richards, Layton & Finger’s corporate department, have been named this month in the 4th edition of the Guide to the World’s Leading Corporate Governance Lawyers. Published by Legal Media Group in association with International Financial Law Review (IFLR), the guide features individuals nominated by their clients and professional peers as leading practitioners in their field. Legal Media Group’s research includes sending over 4000 questionnaires to senior in-house counsel, partners at pre-eminent law firms and other specialists in over 60 jurisdictions, as well as conducting interviews with a select group of professionals in leading commercial centers worldwide.

Balotti advises and represents corporations and corporate directors in transactions and corporate governance matters. Balotti, who has been involved with many of the leading cases defining the duties of directors under Delaware law, has extensive experience advising corporations and their directors with respect to fiduciary duties, corporate control disputes, extraordinary transactions and related matters.

Bussard is the senior member of the transactional group in Richards, Layton & Finger’s corporate department. His practice focuses on advising corporations, boards of directors and board committees in connection with mergers and acquisitions, recapitalizations, stock issuances, stockholders’ meetings and relations, and corporate governance matters.

Finkelstein provides corporate governance, transactional, M&A and control dispute advice to clients, and represents both corporate and individual clients in complex or high-stakes litigation. His practice also includes the representation of special and standing board committees and corporate investigations.

Gentile focuses on the General Corporation Law of the State of Delaware, advising corporations, officers, directors, board committees and stockholders in connection with mergers and acquisitions, divestitures, recapitalizations, strategic planning, major equity investments and corporate governance issues. Gentile currently represents directors of companies listed on NYSE and NASDAQ in connection with these matters.

Nolen advises individuals, boards and management on corporate governance, transactional and control dispute issues, and represents corporate and individual clients in derivative and class actions, fiduciary responsibility actions and other complex cases. Experienced in the areas of corporation law and corporate governance, Nolen has appeared in many of the leading cases addressing these issues in the Delaware courts.
