Gregory P. Williams discusses takeaways from “Hot Topics in M&A Practice” at the 31st Annual Tulane Corporate Law Institute. This panel of experienced deal makers discussed the state of M&A deal making, including current case law and practice with respect to MAC clauses, governance and other matters in the Viacom/CBS deal, the current state of governance issues in “mergers of equals,” and if and how changes in the number and nature of claims in deal litigation has affected deal processes. In addition, the Chief of the Office of M&A at the SEC addressed significant matters currently under review at the SEC.
