Greg is a leading transactional attorney focusing his practice on Delaware alternative entities.  Vice chair of the firm’s Business Department, he counsels clients on matters of Delaware law relating to Delaware limited liability companies, general partnerships, limited partnerships, and limited liability partnerships.

“A pragmatic and thoughtful lawyer who impresses clients with his market knowledge” (Chambers USA, 2024), Greg provides advice and legal opinions on a wide variety of transactions, including investment fund formation matters, structured finance transactions, and various transactions involving investment funds and master limited partnerships. He also regularly advises clients on issues concerning entity governance, mergers and other structural changes, fiduciary duty and contract interpretation questions, and entity dissolutions. Greg also provides litigation support in disputes involving Delaware alternative entities.

  • Represented Conflicts Committee of Access Midstream Partners, L.P. in connection with the acquisition of over $2.1 billion of assets from Chesapeake Corporation and the strategic investment in Access Midstream by The Williams Companies and Global Infrastructure Partners
  • Represented the Conflicts Committee of Targa Resources Partners LP in connection with numerous transactions by which Targa acquired various assets from an affiliate of its general partner
  • Represented the Conflicts Committee of Penn Virginia Resource Partners, L.P. in connection with a combination with its affiliate, Penn Virginia GP Holdings, L.P., that resulted in a simplification of its capital structure
