Ryan P. Brady

Overview

Ryan Brady focuses on complex transactional and advisory matters.

Ryan primarily focuses his practice on transactional matters concerning Delaware limited liability companies, limited partnerships, and general partnerships. He works on a broad range of transactions, including mergers and acquisitions, IPOs, entity formation (including private equity firm and investment fund formation), governance matters, dissolution matters, joint ventures, master limited partnerships (including representation of conflicts committees), and many different types of complex financing transactions. He also advises directors and managers of limited partnerships and limited liability companies regarding their fiduciary duties.

Ryan also represents Delaware banks, trust companies, and other nondepository financial institutions in a wide range of transactional matters, including formation, governance, dissolution, mergers and acquisitions, and other commercial transactions.

During law school, Ryan interned in the Philadelphia Office of the Securities and Exchange Commission in its Division of Enforcement and also served as a legal writing teacher’s assistant.

Select Experience

• Represented the Conflicts Committee of KNOT Offshore Partners LP in connection with dropdown transactions in 2025 and an uncompleted take private offer in early 2026.
• Represented the Conflicts Committee of the Board of Directors of EnLink Midstream, LLC in connection with the acquisition by ONEOK of all of the common units of EnLink not already owned by ONEOK announced in November 2024.
