Richards, Layton & Finger Elects New Directors and Counsel

WILMINGTON, Delaware (July 1, 2026) – Richards, Layton & Finger is pleased to announce that it has elected to elevate attorneys Ally Ewing, Andrew Milam, and Dave Queroli to directors of the firm, and Brian Mammarella, Phil Micha, and Frank Sun to counsel of the firm, effective July 1.

Alexandra M. Ewing is a commercial and intellectual property litigator in Delaware’s state and federal courts. Her practice involves litigating breach of contract, fraud, noncompete, and trade secret claims in the Delaware Superior Court’s Complex Commercial Litigation Division, the Court of Chancery, and the United States District Court for the District of Delaware, as well as patent and trademark infringement claims in the United States District Court for the District of Delaware. Ally is also a member of the bar for Delaware, Pennsylvania, the United States District Court, District of Delaware, and the Third Circuit Court of Appeals. She earned a B.A. from Wellesley College and a J.D., cum laude, from the Temple University Beasley School of Law.

Andrew L. Milam is a corporate litigator in the Delaware Court of Chancery and the Delaware Supreme Court. His practice focuses on corporate governance, corporate control, fiduciary duty, contractual, and commercial disputes. In addition to being a member of the Delaware bar, Andrew is also a member of the bar for the United States District Court, District of Delaware. Andrew earned a B.A. from University of Delaware and a J.D., summa cum laude, from William & Mary Law School. Before joining the firm, Andrew clerked for The Honorable James T. Vaughn, Jr. of the Delaware Supreme Court.

David T. Queroli focuses his practice on corporate restructuring, bankruptcy, and other insolvency matters. He routinely represents debtors, prepetition and DIP lenders, purchasers, unsecured creditors, equityholders, governmental units, and other parties in interest in chapter 7, chapter 11 and chapter 15 cases. Dave is a member of the Delaware Bar and admitted to practice before the United States District Court for the District of Delaware. In 2025, Dave was selected to participate in the National Conference of Bankruptcy Judges (NCBJ) 2025 Next Generation (NEXTGen) Program. Dave earned a B.A., cum laude, from Ursinus College and a J.D. from the University of Michigan Law School.

Brian T.M. Mammarella advises corporations and their directors, officers, and stockholders on a broad array of corporate and transactional matters, including fiduciary duties, special committee matters, M&A, stockholder activism, and contests for corporate control. He also counsels on Delaware corporate law aspects of initial public offerings, stockholder meetings, preferred stock financings, and related strategic transactions, including technical statutory matters. Before joining the firm, Brian clerked for the Delaware Court of Chancery and worked as a securities litigator at a large international law firm in New York. He earned a B.A., summa cum laude, from the College of William & Mary and a J.D. from the University of Virginia School of Law, where he served on the Virginia Law Review.

Philip K. Micha is an environmental and energy law attorney with a comprehensive practice involving compliance, permitting, enforcement, and litigation in connection with federal and state environmental law. He has substantial experience drafting and negotiating environmental transactional agreements and provisions. He also has significant experience in core real property transactions and agreements, including purchase and sale agreements, leasing (wind, solar, and commercial), as well as with land use and entitlement proceedings. Phil is licensed in Delaware and Illinois. He earned a B.S. from the University of Wisconsin-Madison; an M.E.M. from Portland State University; and J.D., magna cum laude, from Chicago-Kent College of Law.

Frank Y. Sun focuses his practice on transactional matters involving Delaware limited liability companies, limited partnerships, corporations, and other Delaware entities. He provides advice and legal opinions on matters of Delaware law in connection with mergers, acquisitions, private equity fund financings, structured finance, securitizations, and joint ventures, including formation and operation of Delaware alternative entities and corporations, choice of law issues, enforceability of contracts governed by Delaware law, and creation and perfection of security interests under Article 9 of the Delaware Uniform Commercial Code. Frank earned a B.A., cum laude, and a B.S., cum laude from University of Florida and a J.D. from Cornell Law School.
